Terms of Service

These terms are the agreement between you and us for your use of Project Plus. They are written to reflect how the product actually works. Please read them before you subscribe. By connecting your FreeAgent account to Project Plus, you accept these terms.

1. Who we are

Project Plus is a trading name of The Docherty Partnership Limited ("we", "us", "our"), a company registered in Scotland under company number SC319586.

2. What Project Plus is, and what it is not

Project Plus is an independent reporting add-on that sits on top of your existing FreeAgent account. It reads your accounting data from FreeAgent and presents project-level reporting that FreeAgent does not provide.

We only ever read from FreeAgent. Project Plus does not write to, change, or delete anything in your FreeAgent account. Where the product lets you reallocate, split, spread, rename or re-describe a transaction, those changes are stored inside Project Plus as an overlay on top of the FreeAgent data. Your underlying books in FreeAgent are untouched.

Project Plus is not affiliated with, endorsed by, or sponsored by FreeAgent Central Ltd. You need your own FreeAgent subscription to use it, and your relationship with FreeAgent is governed by their terms, not ours.

3. Your FreeAgent connection

To use Project Plus you connect it to FreeAgent using FreeAgent's own authorisation process. You must have the authority to grant that access for the company concerned.

You can withdraw that access at any time in FreeAgent under Settings, then Approved Applications. Doing so immediately stops Project Plus reading your data, and the product will stop working. Withdrawing access is not the same as cancelling your subscription: see section 7.

4. Subscriptions, trial and pricing

A subscription covers one FreeAgent company. Everyone who uses that company in FreeAgent is included, at no extra cost. If you have more than one company, each needs its own subscription.

New companies start with a 14-day free trial. We ask for a card at the start of the trial, but you are not charged during it. If you cancel before the trial ends, you are not charged at all. If you do not cancel, the first payment is taken the day after the last day of your trial.

Current prices are shown on our pricing page. At the time of writing:

• Introductory price, first 12 months: £4.99 per month, or £49.99 per year.
• Standard price, after the first 12 months: £9.99 per month, or £99.99 per year.

All prices include VAT at the prevailing UK rate. The move from the introductory price to the standard price is set up when you subscribe and is not a price increase under section 6; it happens automatically at the end of your first 12 months.

A trial is available once per company. If you cancel and later resubscribe, you will not receive a second free trial.

5. Payment, VAT and invoices

Payments are taken by card through Stripe, our payment processor. We do not see or store your card details. Stripe's handling of your payment data is governed by their own terms and privacy policy.

Your subscription renews automatically each month or year, depending on the plan you chose, until you cancel. An invoice is issued for each payment and is available in the Billing area inside Project Plus. Because our prices include VAT, the amount you pay is the total amount due.

6. Changes to prices and to the product

We may change our prices. If we increase the price of your existing subscription, we will give you at least 30 days' notice by email before the change takes effect, and you may cancel before then if you do not want to continue. The scheduled move from the introductory to the standard price described in section 4 is not a price increase for this purpose.

We develop Project Plus continuously and may add, change or remove features. We will not make a change that removes a core part of what you are paying for without telling you.

7. Cancelling

You can cancel at any time from the Billing area inside Project Plus. Cancellation takes effect at the end of your current billing period: you keep access until then, and you are not charged again.

We do not give refunds for part-used periods, and we do not refund a period simply because it went unused. The free trial exists so you can decide whether the product suits you before paying anything. Nothing here affects any statutory rights you may have.

8. Failed payments

If a payment fails, we will keep trying and will email you. Your access continues during a grace period of 14 days from the failed payment so that a card problem does not cut you off immediately. If the payment has not succeeded by the end of that period, access stops. Your data is retained (see section 9), so you can restore access by resubscribing with a working card.

9. Your data

How we handle your information is set out in our Privacy Notice, which forms part of these terms.

In summary: the overlay data you create in Project Plus belongs to you. If your subscription ends, we retain that overlay data rather than deleting it, so that resubscribing restores your reporting as it was. You can ask us to delete it at any time by emailing us, and we will do so subject to any records we are required to keep for legal or accounting purposes.

10. Availability and support

We work to keep Project Plus available and correct, but we do not guarantee uninterrupted availability. The product depends on the FreeAgent API, and periods where FreeAgent is unavailable or changes its API are outside our control.

Support is provided by email at projectplus@thedochertypartnership.com. We aim to respond promptly during UK business hours. We do not offer a guaranteed response time or service level.

11. Acceptable use

You agree not to attempt to gain unauthorised access to Project Plus or to another customer's data, to interfere with its operation, to use it to break the law, or to resell or redistribute access to it without our written agreement. We may suspend access where we reasonably believe this section has been breached.

12. Our responsibility to you

We provide Project Plus with reasonable care and skill. We do not exclude or limit our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, or for fraud.

Subject to that, and because Project Plus is a reporting tool that you use alongside your own professional judgement:

• We are not liable for any decision you take, or any filing you make, on the basis of a figure shown in Project Plus without checking it.
• We are not liable for loss of profit, loss of business, or loss of anticipated savings.
• Our total liability to you in connection with these terms is limited to the amount you have paid us for Project Plus in the 12 months before the claim arose.

If you are using Project Plus other than for the purposes of a business, your statutory rights as a consumer are not affected by this section.

13. Ending the agreement

You may end this agreement at any time by cancelling your subscription and withdrawing Project Plus's access in FreeAgent.

We may end it, or suspend your access, if you materially breach these terms and do not put it right within a reasonable time of us asking, or if your payments stop as described in section 8. If we end your subscription other than because of something you have done, we will refund the unused part of any period you have paid for.

14. Changes to these terms

We may update these terms. When we make a change that materially affects you, we will tell you by email or in the product before it takes effect. Otherwise we will change the "last updated" date at the top of this page.

15. Governing law

These terms are governed by the law of Scotland, and the Scottish courts have jurisdiction over any dispute arising from them.
